These terms apply to all work that Nicholas Neroni, trading as Carbon Copy Design (a sole trader based in Queensland, Australia), does for a client. By accepting a quote, paying an invoice or asking us to start work, you agree to them.
Services
We provide email and SMS marketing services for ecommerce brands, including audits, campaign and flow design, copywriting, pop-up builds, list re-engagement, deliverability work and ongoing management. The exact scope of each project is set out in the quote or written agreement we give you. Work outside that scope is quoted separately.
We work to the timeframes we agree with you. They depend on you providing what we need, such as content, access and feedback, on time.
Quotes and Payment
A quote is valid for the period stated on it. Work starts once you have accepted the quote in writing, which includes by email, and any deposit we ask for has been paid.
We invoice in line with the quote, either upfront, by milestone or monthly. Invoices are due by the date shown on them. If an invoice is overdue, we may pause work until it is paid. Payments already made for work already done are not refundable, except where the law requires it.
Client Content and Approvals
You are responsible for the content you give us, including text, images, product details, offers and lists, and for making sure you have the right to use it and that it is accurate. You are also responsible for having the permission you need to send marketing to your audience, and for following the spam, privacy and advertising laws that apply to your business.
We send work to you for review before it goes live. Nothing is sent to your customers until you have approved it. Once you approve something, you accept responsibility for its content, and changes after approval may be treated as new work.
Intellectual Property
Once you have paid in full, you own the final deliverables we create for you. Until then, we keep ownership and you may not use them.
You keep ownership of your own brand, content and materials. We keep ownership of our methods, templates, tools and any work we created before or outside your project, and we give you a licence to use these as part of the deliverables.
Unless you ask us not to, we may show the work we have done for you in our portfolio and marketing. If you would rather we did not, tell us at any time and we will stop.
Confidentiality
We treat your non-public business information as confidential. This includes your customer data, sales figures, plans and account access. We only use it to do the work for you, and we do not share it unless you ask us to or the law requires it. This continues after our work together ends.
Information that is already public, or that we already had or were given by someone else, is not confidential under this section.
Liability
We take care with our work, but we cannot guarantee particular results, such as revenue, open rates, click rates or inbox placement, because these depend on factors outside our control.
Our services come with guarantees under the Australian Consumer Law that cannot be excluded, and nothing in these terms limits them. Subject to that, and as far as the law allows, we are not liable for indirect or consequential loss, such as lost profits or lost sales, and our total liability for any claim is limited to the amount you paid us for the work the claim relates to. Where the law allows us to, our liability for a breach of a guarantee is limited to supplying the services again or paying the cost of having them supplied again.
Termination
Either of us can end an ongoing arrangement by giving the other written notice, with the notice period set out in the quote or agreement. Either of us can end it straight away if the other seriously breaches these terms and does not fix the problem within a reasonable time after being told.
If it ends, you pay for the work done up to that point, and we hand over completed deliverables once those payments are made. The sections on intellectual property, confidentiality and liability continue after it ends.
Privacy
We handle personal information as described in our Privacy Policy.
Changes to These Terms
We may update these terms from time to time. The current version is always on this page, with its date at the bottom. A change does not affect work already quoted and accepted unless you agree to it. These terms are governed by the laws of Queensland, Australia, and both of us submit to the courts of Queensland.
